| Textual Information(1) | Clarification on Filing of Corporate Governance Report as per Regulation 272a of SEBI LODR Regulations 2015 KS Oils Limited was admitted into the CIRP under the provisions of the IBC by the Honble NCLT Ahmedabad Bench vide order dated July 21 2017 Mr Kuldeep Verma was appointed as the Interim Resolution Professional and was subsequently confirmed as the Resolution Professional of the Company Thereafter the Honble NCLT vide its order dated March 16 2021 ordered the commencement of the liquidation process of the Company under the provisions of IBC 2016 and appointed Mr Kuldeep Vermaas the Liquidator to oversee the liquidation proceedings as per applicable laws and regulations Upon initiation of the CIRP the powers of the Board of Directors were suspended in accordance with the IBC and the RP took over the management and control of the Company The RP continued to manage the affairs of the Company during CIRP and thereafter during the liquidation period During the moratorium period the equity shares of the Company were delisted from NSE on April 27 2018 and from BSE on May 5 2018 which was in contravention of Section 14 of the IBC 2016 Pursuant to a public E-Auction conducted on December 22 2023 under the Liquidation Regulations SoySar Edible Private Limited was declared as the Successful Bidder for the acquisition of KS Oils Limited The full sale consideration was deposited by SEPL and the Liquidator issued the Sale Certificate on March 22 2024 Following the successful acquisition of the Company and in compliance with the order of the Honble NCLT dated February 03 2025 a newly reconstituted Board of Directors was formed with effect from February 07 2025 The reconstituted Board is currently in the process of ensuring compliance with all applicable statutory and regulatory requirements including the convening of the upcoming AGM Subsequently SEPL filed IA No 07 of 2024 and IA No 449 of 2024 before the Honble NCLT seeking various reliefs and concessions including relisting of the equity shares of KS Oils Limited These applications were allowed by the Honble NCLT vide order dated February 3 2025 Following the NCLT order a formal application was made to the stock exchanges NSE and BSE and accordingly the exchanges issued a circular for withdrawal of the delisting status and the status of the Company was updated from Delisted to Suspended wef May 5 2025 In View of the above the Company is in the process of ensuring compliance with all applicable provisions under the SEBI LODR Regulations 2015 |
